Creator Agreement

Article 1 (Purpose) The purpose of this agreement is to clarify the rights and obligations between AliceInn (hereinafter referred to as 'the Company') and a creator who works as a content producer (hereinafter referred to as 'the Creator'), and to ensure a fair contractual relationship. Article 2 (Formation and Scope of the Agreement) 1. This Creator Agreement becomes effective when the Company and the Creator agree to the contract and conclude it in writing or as an electronic document. 2. This agreement applies to all matters related to content creation, distribution, promotion, and revenue sharing between the Company and the Creator. Article 3 (Company's Rights and Obligations) 1. The Company has the right to support the Creator's creative activities and to promote, distribute, and commercially utilize the content. 2. The Company shall distribute a fair share of revenue to the Creator according to the settlement standards. 3. The Company shall make reasonable efforts to protect the Creator's rights and prevent illegal reproduction. Article 4 (Creator's Rights and Obligations) 1. The Creator has the right to engage in creative activities freely and, in principle, retains the copyright to the content they have produced. 2. The Creator must comply with the Company's brand image and policies. 3. The Creator must provide creations within a scope that does not infringe upon the rights of others, and in the event of copyright infringement, the Creator shall be responsible. Article 5 (Intellectual Property Rights and Publicity Rights) 1. The copyright to the content produced by the Creator, in principle, belongs to the Creator. 2. The Company has the right to use the content for promotional and commercial purposes during the contract period. 3. The Creator agrees to the use of their publicity rights and name, which shall be valid only within the purpose of the agreement. Article 6 (Settlement and Payment) 1. The Company shall settle the Creator's content revenue and pay it according to the ratio stipulated in the contract. 2. Payment shall be made on a monthly or quarterly basis, and the payment schedule shall be determined in the contract. 3. Taxes, fees, etc., shall be deducted in accordance with relevant laws before payment. Article 7 (Termination of the Agreement) 1. The Company or the Creator may terminate the agreement through mutual consultation or in the event of a breach of contract. 2. Upon termination of the agreement, the Company shall complete the settlement and terminate the right to use the content. 3. Any legal responsibilities that have already arisen shall remain valid even after the termination of the agreement. Article 8 (Dispute Resolution and Governing Law) In the event of a dispute related to this agreement, the competent court having jurisdiction over the location of the Company shall be the exclusive court.
